At the Company’s Annual Meeting of Stockholders held on December 15, 2022, the stockholders considered and approved two proposals, each of which is described in more detail in the Company’s 2022 definitive proxy statement filed with the Securities and Exchange Commission on October 28, 2022 for the Annual Meeting of Stockholders.

 

The results detailed below represent the final voting results as certified by the Inspector of Elections:

The stockholders elected the following two Class I Directors to hold office until the 2024 Annual Meeting of Stockholders or until their successors are duly elected and qualified based on the following votes:
